O R D E R:-


             Government have reviewed the present process being followed for appointment of Directors on the Board of various organizations under Energy Department.  It was felt that there is a need to modify the procedures  being followed presently for selection of Directors.  Accordingly, Government hereby issue the following guidelines to be followed for appointment of Directors on the Board of APTRANSCO, APGENCO and DISCOMs :

    I. Selection Procedure:

      (i)  Atleast three (3) months prior to the vacancy of the position of Director in the organization, the Principal Officer of such organization (Chairman/ Managing Director/Chairman & Managing Director) shall notify about the vacancy position (s) in at least 2 leading  local and national newspapers.

(ii)  The applications from interested candidates along with their C.R. Dossiers  in the annexed format shall be received within one month from the date of such advertisement.

(iii) All the applications received will be processed by the concerned organization and they will place the matter before the selection committee constituted for the purpose.

(iv) The Selection Committee shall interview various applicants and then select three eligible persons for each position of Director and recommend such persons to the Energy Department.

(v) Energy Department shall then process the recommendation for appointment of to the Post of Director and obtain the approval of competent authority.

   II. Selection Committee:
    The Selection Committee shall consist of:
1.
Principal Secretary to Government of Andhra Pradesh,  Energy  Department
Chairperson
2.
Chairman and Managing Director/Principal Officer of the organization in which the current appointment is required
Convenor
3.
Principal Secretary to Government, Public Enterprises Department
Member
4.
Independent expert with domain knowledge to be nominated by the Government
Member

  III. Process of selection of eligible persons
The Selection Committee  shall shortlist three candidates having adequate experience of relevance to the position of appointment for each post of Director.   Mandatory selection criteria such persons should satisfy include:

A.   Evaluation Criteria :
1.    The person shall have alteast 15 years of experience in the filed relevant to the position :

For example, person who can be eligible for the position of Director, Thermal Generation  in  APGENCO  should  have  atleast 15 years  of

experience in construction, designing, development, operation and maintenance of thermal power plants.

AND
2.    The person shall have atleast 25 years of professional experience with any State/Central Government and /or Government undertaking AND the such person shall have atleast three years of experience of working in the level of Chief Engineer/Chief General Manger/Executive Director or an equivalent rank in the State Government /Public Sector Undertakings etc.
AND
3.    The person shall have minimum Bachelor’s /equivalent degree in the subject directly relevant to the position.

For e.g. a person who can be eligible for the position of Director, Finance shall have alteast a Bachelor’s degree in Commerce or an equivalent subject.  Qualified chartered accountants and company secretaries can also be considered as eligible persons.

B. Age of the applicant and appointee:
i) The applicant shall NOT be above sixty five (65) years of age as on the date of notifications .

      IV.  Tenure of appointee:
Directors shall be selected initially for a term of two (2) years.  The tenure of the appointee  may be extended for a period of one (1) year at a time up to a maximum of two (2) extensions.  All decisions related to extension of tenure shall be made after the approval of the competent authority with the recommendation of the Selection Committee based on the yearly assessment report of the Director.  Candidates with outstanding assessment only should be considered for re-appointment.

2.       The Chairman & Managing Directors/Managing Director of the  APTRANSCO/ DISCOMs /APGENCO are requested to take further necessary action accordingly.
