O R D E R:

In the reference 3rd read above, the Vice-Chairman & Managing Director, A.P. State Civil Supplies Corporation Limited, Hyderabad has proposed to incorporate a Company under the Companies Act, 2013 as a Public Limited Company in the Name and style of “Telangana State Civil Supplies Corporation Limited” (or) Telangana Civil Supplies Corporation Limited (or) Telangana State Essential Commodities Corporation Limited (based on the availability of name with the Registrar of Companies, new Corporation will be registered). He has further stated that as per the provisions of Companies Act, 2013, for incorporation of a Public Limited Company at least Seven (7) subscribers/shareholders are required for subscribing the Memorandum/Articles of Association(MoA/AoA) and a minimum of (3) initial directors are required for incorporation of new Corporation. Further proposed to have Rs. 5.00 crores (50,000 Equity Shares with a face value of Rs.1,000 each ) as Authorized Capital and Rs.10.00 Lakhs (1000 Equity Shares of Rs.1,000/- each ) as Paid-up Capital of the Corporation.

2. The VC & MD, APSCSC Limited, Hyderabad has therefore requested the Government to issue necessary guidelines and directions and authorize Vice-Chairman & Managing Director to do all acts and deeds as may be required for incorporation of the above Corporation.

3. Government, after careful examination of the matter and keeping in view the instructions issued in the reference 4th read above for creation of Public Sector mirror entities of Telangana State organization as per the Cabinet Resolution, dated:16.07.2014, duly apportioning the assets, liabilities and employees (provisionally), as per draft de-merger plan, hereby nominate the following as first Directors /Subscribers to incorporate the new entity in the name and style of “Telangana State Civil Supplies Corporation Limited” or Telangana Civil Supplies Corporation Limited or Telangana State Essential Commodities Corporation Limited (based on the availability of name with the Registrar of Companies, new Corporation will be registered) Government also accord permission is also accorded to file necessary documents to the Registrar of Companies as required under Companies Act, 2013.

4. The Vice Chairman & Managing Director, AP State Civil Supplies Corporation Ltd (Telangana Unit) is also permitted to incorporate the new entity in the name and style of “Telangana State Civil Supplies Corporation Limited” or Telangana Civil Supplies Corporation Limited or Telangana State Essential Commodities Corporation Limited (based on the availability of name with the Registrar of Companies, new Corporation will be registered) by filing necessary forms with the Ministry of Company Affairs (i.e., Registrar of Companies) under Companies Act, 2013 with an Authorized Capital of Rs.5.00 Crores (50,000 Equity Shares of Rs.1000/- each) and Rs.10.00 Lakhs (1000 Equity Shares of Rs.1000/- each) as Paid up capital of the Corporation. Further, permission is hereby accorded to APSCSCL (Telangana Unit) to release Rs.20.00 Lakhs towards paid up capital contribution and any other expenses that may be incurred in this regard and the same will be reimbursed by the Government of Telangana at a later date.

5. The Vice-Chairman & Managing Director, APSCSC Limited, Hyderabad (Telangana Unit) shall take necessary further action in the matter accordingly.

6. This Order issues with the Concurrence of Finance (EBS.II) Department vide their U.O. No.2264/150/A1/2014, dated:29.10.2014.
